Zee Entertainment Enterprises Limited (“Company”) is celebrating the second Anniversary of the popular Zee Telugu fiction show, Prema Entha Madhuram, (“Program ”) and is conducting a competition to select 3 (three) married couples to recreate the title song of the Program i.e Prema Entha Madhuram (the “Song”) which the Company shall telecast on 14^th February, 2022 (the “Activity”). By virtue of participating in the competition to stand a chance to be featured in the recreation, the Participants hereby accept, and agree to be bound by these terms and conditions:

1. In order to stand a chance to be featured in the recreation of the Song, Participants must upload a video of themselves lip syncing the Song. The video shall be of a minimum duration of less than 60 seconds.
2. In order to be eligible, the Participants must accept these Terms and Conditions together with any specific instructions and terms which may be communicated to them, by way of electronic messages, or on the website, or communicated to Participants in any other manner.
3. Eligibility: To be eligible for selection, the Participants must meet the following eligibility criteria: –
   • be a citizen of the Republic of India presently residing within India;;
   • Should be 21 years or above
   • must be a lawfully married couple
   • must be legally eligible to enter into a contract;
   • must be the viewer of Zee Telugu TV Serials.
   • must not have any criminal action, proceedings or investigations pending against them.
   • should not have any arrangement, agreement or contract with any third party that prevents or may prevent them from participating in the Activity.
   • Must submit a copy of their respective Aadhaar Card and Marriage Certificates to the Company.

4. The Activity Period for selection shall be from, 29^th December 2021 to 20^th January 2022.
5. The Company reserves its right to change the date and time of the auditions at its sole discretion at any point of time, without any prior intimation.
6. Merely participating in the Activity or uploading a video does not guarantee the selection or participation of the Participant to feature in the Competition. The Company reserves its right to disqualify and/or exclude, in its sole and absolute discretion, any participant, without assigning any reason, therefore.
7. To participate in the audition, the Participants shall upload their video recording of less than 3 (three) minutes duration at pem.zee5.com which shall be evaluated for screening by the Company and selection shall be as per the sole discretion of the Company. Only entries below 10mb and received within the date and time mentioned in this document shall be considered as a valid entry. The Last date to receive the video recording of the participant is on 20^th January2021 till 11:59 p.m.
8. Participants shall ensure that all video submissions shall only feature the Participants who meet the above eligibility criteria and shall not include any third person including the Participants children. Any submission made in contravention to the above shall automatically stand disqualified.
9. The Company does not demand or accept any registration fees from the Participants.
10. The shortlisted Participants will be contacted by the Company directly for shooting of the video.
11. The shortlisted Participants should be willing to travel to shoot locations and the local travel expenses shall be borne by the Company.
12. Participants agree to be present and available on such shoot dates at and such shooting locations as per the requirements of the Company.
13. The wardrobe and styling of the participant shall be decided by the Company at its sole discretion.
14. The Participant specifically agrees, allows, grants and permits the Company or any party authorized by the Company to record (audio-video/audio or video) the participation process/performance for the  Activity, including but not limited to the performance and any interaction of the Participant with the Company or fellow Participant(s)or any judges and/or representative of the Company, if any, rendered during entire Activity Period or any related series of video recordings which have been shot during the Activity/Activity Period on film, tape or digital or other electronic media, and includes recording of any personal questions or conversations relating to the personal lives of the Participants (“Footage”) and agrees that the Footage may be used by the Company as it deems fit anywhere in the world at any time now or in the future, including but not limited for promotion of the Show. For the avoidance of doubt, all rights in the Footage vests exclusively with the Company worldwide in perpetuity and the Company is entitled to exploit the same in any manner it may deem fit.
15. The Participant agrees that the Company at its sole and absolute discretion, reserves its right to add and/or exclude, partially or completely, the Participants’ video submission, and/or reduce the duration of the same while featuring the title song incorporating the Participants’ video submission.
16. The selection/participation of any Participant shall be immediately rejected, if it is found that the Participant have provided wrong, incomplete, inaccurate or false information or has suppressed any information that would affect their participation in the competition.
17. The Participants agree and undertake to follow all directions/rules and regulations framed or given by the Company from time to time in connection with the Activity and further agree not to raise any objections / claims either during the release/broadcast of the Song incorporating the Participants’ video submission or at any later point of time.
18. The Participants shall not have any right to claim any remuneration or royalty in relation to the Activity or in respect of any performance/videos/photographs or other work(s) submitted by them in relation to the Activity.
19. The Participant undertakes to execute any such documents as required by the Company in respect of participating in the Activity or otherwise as may be required by the Company in connection with the competition.
20. The Participant agrees that his/her participation is of a voluntary nature and at his/her own risk and will have no claim against the Company on any account whatsoever. The Company shall not be responsible for any damage, loss or any form of physical or mental harm or injury caused to any Particpant.
21. All expenses incurred by the Participants in relation to the Activity shall be solely borne by the Participants and the Company shall not be liable to make any payments to the Participants, except as otherwise provided for herein/.
22. The Participant unconditionally and irrevocably assign all rights including but not limited to Intellectual Property in all performance/videos/photographs/work(s) submitted by them in relation to the Activity in favour of the Company, for the entire world and in perpetuity and the Participants agree and acknowledge and make all necessary declarations confirming the aforesaid. Such assignment shall operate for all the modes, media and formats of exploitation in respect of all videos/photographs/work(s) submitted by them in relation to the Activity.
23. The Participant agrees, confirms and warrants that he/she shall have no right, title, interest or other claim whatsoever over his/her performance/work/videos/photos submitted or created during the Activity Period and the copyright in the same shall vest with the Company in perpetuity for the entire world.
24. Company shall not be responsible to the Participants for cancellation, discontinuation and/or postponement of the entry, the Activity and/or the competition.
25. The entry made by each Participant is non-transferrable and non-exchangeable. The Participants agree and undertake that no cash, cash equivalent or alternatives will be given to the Participants.
26. The Company may disqualify or terminate the participation/entry of any Participant(s) at any point of time, without assigning any reason thereof.
27. The Company reserves the right to modify the rules and/or the instant terms and conditions from time to time without any prior/public notice by posting the applicable terms and conditions on its website.
28. The Participant undertakes to provide and/or execute any documents as may be deemed necessary by the Company to effectively carry out his/her obligations under the Terms and Conditions.
29. Participants shall submit such documents as may be required by the Company to establish/verify their respective age, address, nationality and marital status, including, without limitation copies of their Marriage certificate, photographs of the Participants’ wedding/wedding ceremony, Driving License, Aadhar card, Pan card, passport, Election card etc (“Documents”).
30. In the event any Participant fails to furnish the Documents, such Participant’s entry/submission may be disqualified and the Participant may not be allowed to participate in the Activity, as per the Company’s sole discretion.  Additionally, the Company may at its sole discretion select another Participant from amongst the eligible Participant(s) to replace such disqualified/terminated Participant.
31. Company shall not be responsible in any circumstances for the non-fulfilment of commitments/ obligations of any Third Party.
32. All the decision of the Company shall be final and binding on the Participants. No disputes regarding the participations/selection/rejection/broadcast or rights of the Participant will be entertained at any point of time. Decisions of the Company shall be final and binding on the Participant(s).
33. The Participant(s) shall hold harmless and indemnify, the Company, its affiliates, its group companies, their employees, officers, directors or any other person from and against any injury/damage/harm/loss/ death/ mental or emotional trauma or lost opportunity suffered by the Participant(s) in connection with the Activity.
34. The Company, shall be under no liability whatsoever to the Participants, in respect of any loss, damage suffered by the Participant arising from or pursuant to the Activity and/or Program or for any and all loss, damage, cost, expense or injury to life or property sustained by the Participant at any stage of the Activity, whether or not caused (1) by the Participant’s participation in the Activity, or being selected or disqualified including loss of opportunity, loss of earnings, employment or otherwise caused to the Participant and arising as a result of his/her participation in the Activity; (2) as a result of the decisions of the Company; (3) as a result of any comment, remark, judgment, view, criticism, critique, opinion and/or observation made and/or passed by the Company; (4) by any printing, typographical or technological errors in any materials associated with the Activity and/or (5) enroute while coming to the location. Notwithstanding the generality of the foregoing, the Company expressly excludes liability for all direct, indirect and consequential loss or damage, including but not limited to loss or damage to property or for loss of profit, business, revenue, goodwill or anticipated savings pursuant to participation in the Activity. In no event will the measure of damages include, nor will the Company be liable for, any amounts for indirect, incidental, consequential, or punitive damages of any party, including third parties; or for damages attributable to the Participant or circumstances beyond the Company’s reasonable control.

35. The Participants hereby accept and agree that all of the information and documents submitted by them to the Company shall be true, complete and correct to the best of their knowledge and belief. By participating in the Activity, the Participants accept and agree that they shall be bound by these Terms and Conditions.

36. The Participant declares that the Participant will keep in confidence all the information and details in respect of the Activity and any matter related thereto and shall not reveal any material facts regarding concept, content etc. of the Program,  If the Participant is found to have violated any of the terms of this declaration, the Company or such other person engaged by the Company will be entitled to take appropriate legal action against the Participant as per the applicable provisions of law.

37. These Terms and Conditions shall be governed by and construed in accordance with the laws of India and subject to exclusive jurisdiction of the competent Courts in Hyderabad.

38. All rights in respect of this Terms and Conditions are reserved by the Company.

The Participant agrees that the Participant has read and understood the terms and conditions mentioned herein above.
